Terms of Use
These Terms of Use ("Terms") are an agreement between you and NyxMarket ("NyxMarket", "we", "us") and govern your access to and use of https://nyx-market.com and the digital products sold or offered there (the "Service"). NyxMarket is a marketplace: products are offered both by us and by independent creators ("Sellers") who publish through their own stores. You must accept these Terms when creating an account. By using the Service, buying a product, or opening a store, you agree to these Terms. If you do not agree, please do not use the Service.
1. Eligibility & accounts
You must be at least 16 years old (or the age of digital consent in your country) to use the Service, and at least 18 to sell. If you create an account, you are responsible for keeping your credentials secure and for all activity under your account. Provide accurate information and keep it up to date. Creating an account requires accepting these Terms - the date of your acceptance is recorded.
2. The marketplace & our role
Products on NyxMarket are published either by us or by independent Sellers. For Seller products, the sale is between you and the Seller; NyxMarket operates the platform, processes the payment through Stripe, delivers the files, and handles first-line support and refunds as described in our Refund Policy. We review and moderate Seller content, but Sellers remain responsible for the products they publish.
3. Products & delivery
The marketplace offers digital products - website templates, browser-based tools, design assets, fonts, and similar downloadable files. Products are delivered electronically: after a successful payment (or, for free items, after email verification) you receive a secure download link. No physical goods are shipped. Live previews and screenshots are provided to help you evaluate a product before buying.
4. Pricing & payment
Prices are shown on each product page and may change at any time. Payments are processed securely by Stripe; by purchasing, you agree to Stripe's terms as well. You are responsible for any taxes that apply to your purchase unless we are required to collect them. We may correct pricing errors and cancel affected orders, refunding any amount charged.
5. Licence to use products
When you buy or download a product, the product's owner (the Seller, or NyxMarket for our own products) grants you a non-exclusive, worldwide, perpetual licence to use it, subject to these Terms and any licence notes shown on the product page. Unless a product page states otherwise, you may:
- use the product in unlimited personal and commercial projects, including paid client work;
- modify and customise it to suit your needs.
You may not:
- resell, redistribute, sublicense, or give away the product files as-is, or as part of a competing product, template pack, or asset library;
- share your download links or account access publicly;
- claim authorship of the original product or remove included attribution where required;
- use the product for unlawful, infringing, or harmful purposes.
6. Seller terms
These additional terms apply if you open a store ("Seller"):
- Application & account. You open a store by completing the seller application and accepting these Terms. We may decline, suspend, or close seller accounts that break the rules.
- Payouts via Stripe Connect. Earnings are paid out through Stripe Connect. You must complete Stripe's onboarding (identity + bank details, collected by Stripe - never by us) before payouts can be sent. Until your Stripe account is active, your earnings are safely held and released once onboarding completes.
- Fees. For every sale we deduct: a 10% platform commission, plus the actual payment costs - Stripe card processing (currently 2.9% + $0.30 per payment, allocated per item) and Stripe's payout-volume fee (currently 0.25%). The remainder is transferred to you automatically. The full breakdown of each sale is visible in your seller dashboard. We may update the commission or reflect changes in Stripe's pricing prospectively, with notice.
- Refund reversals. If a sale is refunded under our Refund Policy, the corresponding payout amount may be reversed or offset against your future earnings.
- Your content. You keep ownership of what you upload. You grant NyxMarket a licence to host, display, promote, and deliver your products on the marketplace. You warrant that you own or hold all necessary rights to everything you upload, that it doesn't infringe anyone's intellectual property, privacy, or other rights, and that it contains no malicious code.
- Prohibited content. Executables and installers (.exe and similar), malware or spyware of any kind, stolen or pirated work, content that infringes third-party rights, and unlawful or deceptive products are all prohibited.
- Security check & moderation. Every uploaded file passes an automated security check. Files that are clearly safe (documents, media, fonts, design assets) publish immediately; archives containing active code are held for human review; dangerous files are rejected. We may re-review, unpublish, or remove any product at any time, and suspend stores that violate these Terms - suspension hides all of the store's products.
- Taxes. You are responsible for your own income taxes and, where applicable, for any VAT/GST obligations arising from your sales.
7. Refunds
Because products are digital and delivered instantly, sales are generally final. That said, the marketplace offers a good-faith 14-day guarantee on all products - ours and Sellers' alike: if a product is broken, materially not as described, or you simply aren't satisfied, contact us within 14 days of purchase and we will work with you toward a fix or a refund. 8. Intellectual property & takedowns
The NyxMarket name and logo, and the content and design of the Service, are owned by us or our licensors. Products remain the property of their respective owners; buying one grants you the licence in section 5 - not ownership. If you believe a product on the marketplace infringes your rights, email support@nyx-market.com with the product link and evidence of ownership; we review takedown requests promptly and remove infringing content.
9. Acceptable use
You agree not to misuse the Service, including by attempting to:
- access files, accounts, or systems you are not authorised to access;
- circumvent payment, download limits, security checks, or moderation;
- disrupt, overload, or reverse-engineer the Service;
- upload malicious code or use the Service to infringe others' rights.
10. Third-party content & links
Products or pages may reference third-party software, fonts, or demos. Their respective licences and terms apply to those components, and we are not responsible for third-party websites or services.
11. Disclaimers
The Service and all products are provided "as is" and "as available", without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. Seller products are created by independent creators; while we moderate the marketplace, we do not warrant that any product will meet your specific requirements or that the Service will be uninterrupted or error-free.
12. Limitation of liability
To the maximum extent permitted by law, NyxMarket will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of data, profits, or revenue, arising from your use of the Service or any product - whether published by us or by a Seller. Our total liability for any claim is limited to the amount you paid for the product giving rise to the claim (or, for Sellers, the fees we charged on the sale giving rise to the claim).
13. Termination
We may suspend or terminate your access (including seller stores) if you breach these Terms. Licences granted for products you have lawfully purchased survive termination, subject to the restrictions in section 5. Earnings lawfully due to a Seller at termination are paid out, less any amounts owed to us or subject to dispute.
14. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date shows the latest revision; continued use of the Service after changes means you accept them.
15. Governing law
These Terms are governed by the laws of the country in which the operator is established, without regard to its conflict-of-law rules. Courts located there will have jurisdiction, unless mandatory local consumer-protection laws provide otherwise.
